TERMS OF AGREEMENT
THIS AGREEMENT CONTAINS THE ENTIRE UNDERSTANDING OF THE PARTIES AND NO ORAL REPRESENTATIONS, EXPRESSED OR IMPLIED, HAVE BEEN RELIED UPON BY THE PARTIES.
PRINTING TERMS top
A) ALL ORDERS ARE ENTERED IMMEDIATELY AND ARE NOT SUBJECT TO CANCELLATION.
B) ONLY 2 PROOF CHANGES WILL BE HONORED. ALL ADDITIONAL CHANGES WILL INCUR ADDITIONAL CHARGES AT A RATE OF $60.00 PER HOUR, ROUNDED TO THE NEAREST HALF HOUR.
C) GREENE TOUCH, LLC DOES NOT GUARANTEE EXACT PMS COLORS, SPELLING ERRORS AND OR OMISSIONS APPROVED BY CLIENT.
D) GREENE TOUCH, LLC DOES NOT GUARANTEE DELIVERY DATES. CLIENTS MAY REQUEST EXPEDITED SHIPPING/DELIVERY AT AN ADDITIONAL CHARGE.
E) BALANCE MUST BE PAID IN FULL PRIOR TO PRINTING OR CLIENT AGREES TO FORFEIT DEPOSIT AND REMAIN RESPONSIBLE FOR FINAL PAYMENT DUE. ADDITIONALLY, CLIENT FURTHER AGREES TO MAKE PAYMENT OF $25.00 LATE FEE MONTHLY, AS WELL AS REASONABLE COSTS, UNTIL PAYMENT IS RECIEVED.
Acceptance of the above terms constitutes a form of secure credit extended to the advertiser by Greene Touch, LLC,which may be used as a reference. If terms are not fulfilled for any reason, advertiser may be subject to additional service charges, credit reporting, and collection action.
F) A RETURNED CHECK CHARGE OF $25.00 WILL BE APPLIED TO ALL DISHONORED CHECKS.
G) PROOFS WILL BE SENT VIA E-MAIL, FAX OR REGULAR MAIL AND MUST BE APPROVED BY CLIENT PRIOR TO PRINT.
H) ALL ARTWORK IS COPYRIGHTED © AND IS FURTHER THE INTELLECTUAL PROPERTY OF GREENE TOUCH, LLC AND CAN NOT BE DUPLICATED WITHOUT THE WRITTEN PERMISSION OF GREENE TOUCH, LLC. ADDITIONAL FEES WILL APPLY IN THE EVENT THAT PERMISSION IS GRANTED.
I) IF ANY ARTWORK IS UNLAWFULLY USED OR DUPLICATED WITHOUT THE WRITTEN CONSENT OF GREENE TOUCH, LLC, THE CLIENT WILL BE PROSECUTED TO THE FULLEST EXTENT OF THE LAW AND AT THE EXPENSE OF THE VIOLATOR.
J) GREENE TOUCH, LLC WILL RECEIVE CREDIT IN ANY AND ALL PUBLICATIONS OR PRINT IRREGARDLESS OF FEES FOR DESIGNED WORK.
K) ARTWORK SUBMITTED TO CLIENTS MAY ONLY BE USED IN CONJUNCTION WITH THE SPECIFICATIONS OF THE ORDER PLACED BY CLIENT. NO ARTWORK MAY BE REPRODUCED FOR FUTURE ITEMS INDEPENDENT OF THE EXPRESSED WRITTEN PERMISSION OF GREENE TOUCH, LLC.
L) CLIENT AGREES TO TAKE FULL RESPONSIBILITY OF THE USE OF ANY PHOTOS, LOGOS AND CORPORATE TRADEMARKS IN ANY ITEM DESIGNED FOR CLIENT. GREENE TOUCH, LLC ASSUMES NO LIABILITY,
FURTHERMORE, IT IS THE CLIENTS RESPONSIBILITY TO RECEIVE AUTHORIZATION OF SUCH USE. ANY ITEMS
PROVIDED TO GREENE TOUCH, LLC WILL NOT BE RETURNED UNLESS A SELF-ADDRESSED, STAMPED ENVELOPE IS PROVIDED. OTHERWISE MATERIALS MAY BE DISCARDED.
M) THE INDIVIDUAL SIGNING THIS AGREEMENT IS AUTHORIZED TO SIGN CONTRACTS OF THIS NATURE ON BEHALF OF THE COMPANY AND PERSONALLY GUARANTEES PAYMENT AS NOTED ON THE FRONT OF THIS AGREEMENT.
GREENE TOUCH, LLC RESERVES THE RIGHT TO TRANSFER OWNERSHIP OF THIS AGREEMENT TO ANY OTHER COMPANY AT ANY TIME WITH ALL TERMS REMAINING THE SAME.
WEB TERMS top
A) This agreement contains the entire understanding of the parties and no oral representations, expressed or implied, have been relied upon by the parties.
B) Domain Name, Hosting and Design are the property of The Greene Touch and may be purchased by the customer at anytime for an additional fee.
C) The Greene Touch is not responsible for any action that may arise from this Web Site and will not be held liable for an interruption for any reason and no credits will be given.
D) Should any payment not be made as scheduled, a late fee of 1.5% of the balance will be charged monthly. The Greene Touch also has the right to remove site with a reactivation charge of $250.00. A returned check charge of $25.00 applies for all dishonored checks. *All agreements are entered immediately and not subject to cancellation. Credit Card payment is accepted and may not be disputed. Signature is not needed to be a valid charge.
E) The Greene Touch will not be responsible for errors & omission within your web site and no credit will be given. Please check provided text thoroughly. Client will be able to make corrections for a period of no more than 72 hours from the time the site is emailed to client (Temp site) . Once 72 hours is expired, additional charges for corrections or updates will apply at $120.00 per hour with a minimum of an hour. NO EXCEPTIONS.
F) The Greene Touch does not provide for an exact time that sites will be online, but time begins upon registration of the domain name.
G) Under construction sign will be uploaded within 10 days with a minimum of 50% deposit. No additional site work will be started until balance of Agreement is paid in FULL. Client must pay balance as agreed or additional fees will apply. Late charges of no less than 20% of total contract price and time spent to collect including legal and collection fees.
H) Photos, logos, corporate trademarks, and text will only be used with clients permission. The Greene Touch assumes no liability, it is the clients responsibility to receive authorization of such use. The Greene Touch will assume to have authorization to use and will not be returned unless a self addressed stamped envelope is provided, Otherwise materials will be discarded.
I) Should client decide to remove site they will incur additional fees and will be handled in a timely fashion.
J) Client may not be notified prior to hosting expiration to either renew the hosting and registration, or to relocate site. Both incur fees. The Greene Touch will not be liable for nonpayment of services that result in loss of domain name or hosting. The renewal date of expiration is located on the opposite side of this agreement.
K) The Greene Touch does not have the ability to provide for placement or location of web site on any and all search engines and will incur additional fees from those entities as well as The Greene Touch.
L) Client may not do any updates to site either by yourself, or third party. No FTP Site, User Name or Password will be provided. Site design and content is the property of The Greene Touch.
M) The Greene Touch may transfer or subcontract this agreement to any other company with all terms to remain the same. The Greene Touch owns site domain name, design and content but may be purchased at any time for additional fees.
N) The Greene Touch reserves the right to link clients site to any site for the purpose of networking or sample purposes but makes no commitment to do so as per this agreement.
NO MONTHLY Maintenance/Update Fees are not charged or included. Maintenance/Updates are charged at a rate of $120.00 per hour with a min of 1 hour. ( no exceptions ) Unless pre-paid and specified on the front of this agreement.
NEW DOMAINS It is understood that any and all domain names and design are the property of The Greene Touch and may be purchased at anytime for an additional fee.
EXISTING/CLIENT OWNED DOMAIN It is understood that a design & copyright fee of $240.00 will be paid annually on the anniversary of this
agreement and shall not increase more then 8% annually .

MOBILE WEB TERMS top
A) This agreement contains the entire understanding of the parties and no oral representations, expressed or implied, have been relied upon by the parties.
B) Domain Name, Hosting and Design are the property of The Greene Touch and may be purchased by the customer at anytime for an additional fee. For mobile sites that are being attached to existing web site client must provide FTP access or any other form of username and password to access current hosting account. The Greene Touch is not responsible for obtaining such information, client MUST provide working access and is solely responsible for lost time and fees associated with gaining access. The Greene Touch will not be held liable if client is denied access to hosting.
C) The Greene Touch is not responsible for any action that may arise from this Web Site and will not be held liable for an interruption for any reason and no credits will be given.

O) This contract includes content from pre-existing web site of client. If no web site exists, content must be provided within 48 hours by client or content will be written and edited by The Greene Touch and billed at $120 per hour (minimum 1 hour).

EXISTING/CLIENT OWNED DOMAIN It is understood that a design, copyright, and usage fee of $150.00 will be paid annually to The Greene Touch on the anniversary of this agreement and shall not increase more then 8% annually .
FEES
Domain Re-Registration Only (1 year) - $89.00

Pre paid Update package total of 6 updates over 24 month period $199.00

ADVERTISING TERMS top
A) Ad copy must be finalized within 10 days of received of proof
or ad copy will be printed as proposed. If camera ready art work
is being provided it must be received within 10 days of this
agreement or Greene Touch will create ad at company standards at

B) This agreement contains the entire understanding of the parties
and no oral representations, expressed or implied, have been relied
upon by the parties. Greene Touch does not represent quantity of menus,
or how they are used.
C) Greene Touch will try to provide for ad placement requests but does not
guarantee these requests* No fee will be credited.
D) Greene Touch reserves the right to substitute location should facility not
comply to there contract for any reason.
E) Balance needs to be paid in full prior to print or ad will not be
printed and deposit will be forfeited with final payment still due plus
$25.00 late fee & reasonable costs. Client may at time balance is
paid be permitted to advertise in other menus based on availability.
F) No Invoices are sent
G) Proofs are sent by registered U.S. Mail
H) Greene Touch will not be responsible for errors & omission within your
ad and no credit will be given. Please check proof thoroughly.
I) Greene Touch does not provide for an exact time that ads will be
displayed at facility, but ad time begins upon delivery to facility.
